FREEBALLIN™ — TERMS OF SERVICE

These Terms of Service (“Terms”) govern access to and use of products and services supplied by Freeballin Pty Ltd (ABN 70 696 547 538), trading as FREEBALLIN™ (“we”, “us”, “our”).

By purchasing, accessing or using FREEBALLIN™ products, you agree to these Terms, subject to your mandatory legal rights.

1. Products and Services

FREEBALLIN™ develops and supplies digital trading software, including Trade Manager PRO, Trade Manager LITE, Toolkit and related products.

Our software provides trader-directed tools for charting, trade management and execution-related functionality.

Products may require TradingView, compatible third-party services, internet connectivity and active software licences.

Features, compatibility requirements and subscription arrangements are described in the applicable product information.

2. Eligibility

You must be at least 18 years old to purchase, access or use FREEBALLIN™ products.

You are responsible for ensuring that your use of our products complies with laws and regulations applicable to you.

3. Software Licence and Intellectual Property

FREEBALLIN™ grants customers a limited, non-exclusive, non-transferable and revocable licence to use purchased software for its intended purposes during the applicable licence period.

All software, source code, designs, features, branding, trademarks, documentation and related intellectual property remain the property of FREEBALLIN™ or its licensors.

Unless expressly authorised, customers must not:

• Copy, reproduce, redistribute, resell or sublicense our software.

• Reverse-engineer, decompile or attempt to extract source code, except where permitted by law.

• Share, transfer or misuse licences or access credentials.

• Circumvent licence verification or security measures.

• Modify or commercially exploit our products without permission.

• Use our products for unlawful or unauthorised purposes.

FREEBALLIN™ may suspend or terminate access for material breaches of these Terms, subject to applicable law.

4. Trading Decisions and Financial Risk

FREEBALLIN™ provides software tools, not financial advice, investment recommendations or trading signals.

Our products do not independently determine whether customers should enter or exit trades.

Customers are solely responsible for their trading decisions, strategies, settings, order instructions and account management.

Trading financial products involves substantial risk and may result in the loss of some or all trading capital.

FREEBALLIN™ does not guarantee profits, trading performance, order execution, account protection or particular financial outcomes.

Customers should independently assess their financial circumstances and obtain professional advice where appropriate.

5. Software Configuration and Customer Responsibilities

Customers are responsible for:

• Understanding product functionality and limitations.

• Correctly configuring software settings and trade-management parameters.

• Testing configurations before using live trading capital.

• Maintaining compatible devices, platforms and internet connectivity.

• Monitoring trading accounts and verifying broker orders and positions.

• Maintaining the security of their accounts and credentials.

• Complying with applicable broker and third-party platform requirements.

FREEBALLIN™ is not responsible for trading decisions or instructions independently configured or initiated by customers, except to the extent liability cannot lawfully be excluded.

6. Third-Party Platforms and Integrations

FREEBALLIN™ products may operate with TradingView, webhook providers, brokers, trading platforms and other independent services.

These services are not owned or controlled by FREEBALLIN™.

Their availability, pricing, compatibility, execution, connectivity and performance are subject to their own terms and systems.

FREEBALLIN™ does not guarantee uninterrupted integration, successful webhook delivery or broker execution.

To the maximum extent permitted by law, FREEBALLIN™ is not responsible for failures attributable to independent third-party services.

7. Purchases, Payments and Subscriptions

Prices, billing periods, currencies and applicable taxes are displayed at checkout.

Recurring subscriptions renew automatically according to the terms disclosed at purchase unless cancelled before renewal.

Customers authorise applicable recurring charges when purchasing a subscription.

Subscriptions may be cancelled through the available subscription-management process or by contacting FREEBALLIN™.

Unless required by applicable law:

• Payments already processed are non-refundable.

• No prorated refunds apply to unused subscription periods.

• Cancellation prevents future renewals once successfully processed.

• Access ordinarily continues until the end of the paid subscription period.

One-off purchases do not automatically renew.

8. Software Availability and Changes

FREEBALLIN™ may maintain, update, improve or modify its products, including to address technical issues, security requirements, platform changes or compatibility.

Temporary interruptions may occur due to maintenance, technical faults or third-party service availability.

We do not guarantee uninterrupted or error-free operation.

Material changes affecting purchased rights will be handled in accordance with applicable law.

9. Support and Technical Issues

Customers may contact FREEBALLIN™ regarding software access, activation or technical issues.

We may provide reasonable troubleshooting assistance, corrections or updates.

Support does not include financial advice, individual trading supervision or responsibility for managing customer trading accounts.

Nothing in these Terms limits remedies required under applicable consumer law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, FREEBALLIN™ excludes liability for:

• Trading losses or loss of trading capital.

• Lost profits or anticipated financial gains.

• Missed trading opportunities.

• Customer configuration errors or trading instructions.

• Broker execution failures, slippage or rejected orders.

• Independent third-party service interruptions or failures.

• Indirect, incidental or consequential losses.

Where a contractual limitation of monetary liability is legally permitted, FREEBALLIN™'s aggregate liability arising from a particular product or subscription is limited to the amount paid by the customer for that product or subscription during the 12 months preceding the event giving rise to the claim.

These exclusions and limitations do not apply where prohibited by law or where they would restrict mandatory consumer guarantees, statutory remedies or liabilities that cannot lawfully be excluded or limited.

Nothing in these Terms excludes liability for fraud, intentional misconduct or other liability that cannot legally be excluded.

11. Consumer Rights and International Customers

FREEBALLIN™ supplies digital products internationally.

Nothing in these Terms excludes, restricts or modifies mandatory consumer rights under Australian Consumer Law or other applicable consumer protection legislation.

International customers retain mandatory rights applicable to their transactions, including relevant digital-content, subscription, cancellation and consumer protection rights.

Where legally required, FREEBALLIN™ will provide the applicable remedy.

No additional voluntary warranties, refunds or compensation rights are created beyond those expressly stated or required by law.

12. Account Security and Access

Customers must provide accurate information and maintain the security of their accounts and credentials.

Customers must not share access or use software in a manner that compromises security, licensing or service integrity.

FREEBALLIN™ may restrict access where reasonably necessary to address security threats, fraud, unauthorised use or material breaches.

Any suspension or termination will be exercised reasonably and subject to applicable law.

13. Privacy

Personal information is handled in accordance with our Privacy Policy.

Customers acknowledge that Shopify and independent third-party providers may process information according to their respective privacy policies.

14. Termination

Customers may discontinue use of FREEBALLIN™ products at any time.

Subscription cancellation is governed by the applicable subscription terms.

FREEBALLIN™ may terminate or suspend licences for material breaches, fraud, unlawful use or security threats, subject to applicable law.

Termination does not affect accrued payment obligations, intellectual property rights or provisions intended to survive termination.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Northern Territory and applicable Commonwealth laws of Australia.

To the extent permitted by law, disputes are subject to the jurisdiction of the courts of the Northern Territory, Australia.

Nothing in this provision restricts mandatory consumer protections or jurisdictional rights applicable to customers in other countries.

16. Changes to These Terms

FREEBALLIN™ may update these Terms to reflect changes in its products, services, technology or legal requirements.

Updated Terms will be published with a revised effective date.

Where legally required, customers will receive notice or an opportunity to consent before material changes take effect.
